Terms and Conditions

For downloadable toolkits, policies, procedures, forms, guidance and related digital resources

Effective 14 September 2026 | Worldwide digital sales

Seller: Kim Martin, a sole trader trading as EYFS MENA. Current contact and business details are published on the EYFS MENA website and order confirmation.

Please read these Terms before purchasing or accessing a Digital Product. By completing checkout, the Customer agrees to be bound by them.

1. About these Terms

1.1 These Terms govern every purchase, licence, access and use of a Digital Product supplied by Kim Martin, a sole trader trading as EYFS MENA (we, us or our), whether the Customer buys through our website, FreshLearn, an invoice, a payment link or another authorised channel.

1.2 These Terms apply to business customers and consumers. Provisions identified as applying to Consumers apply only where the Customer is acting wholly or mainly outside their trade, business, craft or profession.

1.3 If mandatory consumer, e-commerce, tax or other law in the Customer's country gives rights that cannot lawfully be excluded or restricted, those rights remain unaffected. Nothing in these Terms is intended to remove them.

1.4 The order page, product description, invoice, these Terms and any licence schedule supplied with the Digital Product form the Contract. If they conflict, a specifically agreed written order or licence schedule prevails, followed by the product description, these Terms and the invoice.

2. Definitions

TermMeaning

Authorised Usersthe Customer and the Customer's employees, workers and contractors who work for the Licensed Site and require access for its internal operations.
Consumeran individual acting wholly or mainly outside their trade, business, craft or profession.
Customerthe person or organisation named in the order or invoice.
Digital Productany downloadable or electronically supplied toolkit, policy, procedure, form, template, code of practice, guide, workbook, document pack, update or associated resource supplied by us.
Licensed Siteone named nursery, early-years setting or operational location identified by the Customer at purchase or first use.

3. Orders and formation of the Contract

3.1 Before ordering, the Customer must review the information reasonably made available on the sales page and at checkout, including the Digital Product's description, stated contents, language, format, technical requirements, licence scope and price. This clause does not require us to provide a complete preview or editable copy of the Digital Product before purchase.

3.2 An order is an offer to buy. The Contract is formed when we issue an order confirmation, make the Digital Product available, or accept payment, whichever occurs first.

3.3 The Customer confirms that all checkout information is accurate and that the person placing an order for an organisation has authority to bind it.

3.4 We may refuse or cancel an order before supply where there is an obvious pricing or description error, suspected fraud or unlawful activity, a sanctions or export-control concern, payment failure, or a technical inability to supply. Any amount paid for an unfulfilled order will be refunded.

4. Prices, currencies, taxes and payment

4.1 Prices and accepted currencies are those displayed at checkout or on the invoice. Unless expressly stated otherwise, prices exclude taxes, duties, bank charges, currency-conversion charges and withholding taxes imposed outside the United Kingdom.

4.2 The Customer is responsible for taxes or reporting obligations arising in its country, except taxes that the law requires us or a marketplace/payment platform to collect and remit.

4.3 Payment must be made using an offered payment method. Access may be withheld or suspended for failed, reversed, disputed or fraudulent payments.

4.4 A Customer must not initiate a chargeback for a matter that can reasonably be resolved directly without first contacting us, but this does not remove any legal or card-scheme right.

5. Digital delivery and technical requirements

5.1 Delivery occurs when the download, access link or account access is made available to the Customer. The Customer is responsible for providing a working email address, compatible device, internet access, suitable software and secure storage.

5.2 The Customer must download and securely back up the files promptly. Unless the product description promises continuing access, we do not guarantee that a download link or platform account will remain available indefinitely.

5.3 The Customer must notify us promptly if a file is missing, corrupted, inaccessible or materially different from its description. We will take reasonable steps to restore access, repair or replace the file, or provide another remedy required by applicable law.

6. Consumer cancellation and immediate supply

6.1 A Consumer may have a statutory right to cancel a distance contract. However, where the Consumer asks us to begin supplying Digital Content immediately, the Consumer expressly consents to supply beginning before the end of any cancellation period and acknowledges that the cancellation right may be lost once supply or downloading begins, to the extent permitted by applicable law.

6.2 The checkout must obtain that express consent and acknowledgement before immediate access is provided. Acceptance of these Terms alone should not be treated as a substitute where the law requires a separate affirmative confirmation.

6.3 The loss of a change-of-mind cancellation right does not remove rights relating to Digital Products that are faulty, not as described, not supplied with reasonable care and skill where applicable, or otherwise non-conforming under mandatory law.

6.4 If immediate supply has not begun and a Consumer validly cancels within an applicable statutory period, we will provide the remedy required by law.

7. Refunds and remedies

7.1 Except where mandatory law requires otherwise, purchases are non-refundable after the Digital Product has been supplied, accessed or downloaded because the Customer receives immediate access to reproducible digital materials.

7.2 We do not refuse a remedy where the Digital Product is faulty, materially misdescribed, not supplied, or where a refund or other remedy is required by mandatory consumer law.

7.3 The Customer must provide the order details and a clear description of the problem. Where lawful and reasonable, we may first repair, replace, update or re-supply the Digital Product. If that is impossible, unsuccessful or not provided within a reasonable time, we will provide an appropriate price reduction or refund as required by law.

7.4 Dissatisfaction arising solely from a change of mind, failure to read the description, lack of compatible software, or a mistaken assumption that the Digital Product guarantees licensing, inspection or legal approval does not create a refund right unless applicable law says otherwise.

8. One-site licence

8.1 On full payment, we grant the Customer a limited, non-exclusive, non-transferable, revocable licence to download, store, use and adapt the Digital Product for the internal operations of one Licensed Site.

8.2 Authorised Users may access working copies only for the Licensed Site. The Customer is responsible for their compliance and must use reasonable access controls.

8.3 The Customer may insert its name, logo, roles, contact details, local procedures and setting-specific information, and may make reasonable operational adaptations for the Licensed Site.

8.4 The licence does not extend to another nursery, branch, franchise, sister company, client or setting, even if under common ownership. A separate or multi-site licence is required.

8.5 The Customer must retain our copyright and proprietary notices where included and must keep an unaltered master copy so the source can be identified.

9. Prohibited use

The Customer and Authorised Users must not, without our prior written permission:

  • sell, sublicense, distribute, publish, upload, share or make the Digital Product available outside the Licensed Site;
  • share files through public links, social media, messaging groups, document repositories or membership libraries;
  • use the Digital Product to provide consultancy, training, inspection, accreditation or document-writing services to third parties;
  • remove ownership notices or represent the underlying content as originally authored by the Customer or another person;
  • use the Digital Product, or substantial extracts from it, to train, fine-tune, evaluate or populate an artificial-intelligence system, dataset, automated template library or competing product;
  • circumvent access controls or assist another person to infringe our rights; or
  • use the Digital Product unlawfully, misleadingly, or in a way that may endanger a child or adult.

10. Intellectual property

10.1 All intellectual-property rights in the Digital Products, including their structure, selection, wording, design and underlying materials, remain owned by or licensed to us. Payment purchases a licence, not ownership of those rights.

10.2 Customer-specific factual information and branding inserted by the Customer remain the Customer's property. Adaptation does not transfer ownership of our underlying material.

10.3 Unauthorised use may cause serious and irreparable harm. We may suspend access, terminate the licence and pursue available remedies. Termination does not affect accrued rights.

11. Professional, legal and regulatory responsibility

11.1 Digital Products provide general early-years, safeguarding, leadership, operational and compliance support. They are not legal advice, regulatory approval, accreditation, certification of compliance or a guarantee of any inspection, licensing, safeguarding or commercial outcome.

11.2 Digital Products may be purchased and used worldwide, subject to applicable law and the licence. Laws, decrees, ministry requirements, regulator guidance, terminology and accepted practice differ between countries and may change. The Customer must review and adapt every Digital Product for the Licensed Site's country, state/governorate/emirate/region, licence category, workforce, children, services and current requirements before adoption.

11.3 The Customer remains solely responsible for deciding whether and how to use, interpret, adapt and implement a Digital Product and for all management decisions, risk assessments, professional judgements, staff training, consultation, translation, version control, record keeping, safeguarding action and compliance with applicable law and regulator directions.

11.4 The Customer must not treat a template as a substitute for site-specific assessment, competent professional judgement, staff supervision, statutory guidance, regulator instructions or legal advice. The Customer must identify and correct any provision that is unsuitable, incomplete, outdated or inconsistent with local requirements before use.

11.5 Subject to clause 17.1 and mandatory law, the Customer is responsible for the consequences of its own or its Authorised Users' use, interpretation, adaptation, omission, communication or implementation of a Digital Product, including any resulting non-compliance, regulatory breach, safeguarding failure, financial loss, property damage, injury, harm or death.

11.6 No template replaces immediate referral to emergency services, statutory authorities, child-protection agencies or qualified legal/professional advice where circumstances require it.

12. Languages and translations

12.1 A Digital Product is supplied only in the language or languages stated in its description. Unless expressly stated, translation is not included.

12.2 Where we supply English and Arabic versions, reasonable care is taken to align them. If an inconsistency arises, the English version prevails to the extent permitted by mandatory local law, unless the order states otherwise.

12.3 The Customer must arrange review by a competent local-language and legal specialist before relying on translated or locally adapted material where accuracy is safety-critical or legally required.

13. Updates and version control

13.1 A purchase includes the version supplied at the time of order and only those updates expressly included in the product description.

13.2 We may correct, improve, replace or withdraw Digital Products. Unless mandatory law requires otherwise, this does not create an obligation to provide future updates free of charge.

13.3 The Customer must maintain effective dates, approval records, review dates and change logs for documents it adopts, and must ensure obsolete versions are removed from use.

14. Availability, security and misuse

14.1 We use reasonable care in supplying Digital Products but do not guarantee uninterrupted platform availability. Maintenance, third-party outages, cyber incidents and events beyond reasonable control may interrupt access.

14.2 The Customer must keep account credentials confidential, use secure devices and notify us promptly of suspected unauthorised access or distribution.

14.3 We may suspend access while investigating security, payment, licensing or unlawful-use concerns. Where practicable, we will give notice and restore access when the concern is resolved.

15. Data protection and communications

15.1 We process personal information for order administration, delivery, support, fraud prevention, legal compliance and related purposes as described in our Privacy Notice.

15.2 The Customer must not insert identifiable child, family, employee or safeguarding-case information into materials sent to us unless this is necessary, lawful, secure and expressly agreed.

15.3 Transactional messages concerning an order are not marketing. Marketing communications will be sent only where permitted, and recipients may opt out as described in the Privacy Notice.

16. Sanctions, export controls and lawful purchasing

16.1 The Customer confirms that the purchase, payment, access and use are lawful in the countries concerned and do not breach applicable sanctions, trade controls or anti-money-laundering requirements.

16.2 We may conduct proportionate checks, refuse supply, suspend access or make disclosures required by law. We are not required to perform a transaction that would expose us or a service provider to legal or regulatory risk.

17. Liability

17.1 Nothing in these Terms excludes or limits our liability where exclusion or limitation is unlawful, including liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors, fraud or fraudulent misrepresentation, or breach of mandatory consumer rights.

17.2 For Consumers, we are responsible for foreseeable loss or damage caused by our breach of the Contract or failure to use reasonable care and skill, but not for business losses. A Consumer's mandatory rights remain unaffected.

17.3 For business Customers only, we are not liable for loss of profit, revenue, business, contracts, opportunity, anticipated savings, goodwill, data, regulatory status or inspection outcome, or for indirect or consequential loss.

17.4 For business Customers only, our total aggregate liability arising from a Digital Product shall not exceed 150% of the amount paid for that Digital Product, except for liability that cannot lawfully be limited.

17.5 Subject to clause 17.1 and mandatory law, we are not responsible or liable for a Customer's or Authorised User's decision to use, interpret, adapt, omit, communicate or implement a Digital Product; failure to carry out a site-specific risk assessment or obtain current local advice; use of an outdated or incorrectly translated version; unauthorised use; or reliance outside the stated purpose.

17.6 Subject to clause 17.1 and mandatory law, we are not responsible for any regulatory breach, safeguarding failure, financial loss, property damage, injury, harm or death to the extent caused by the acts, omissions, professional judgement, management systems or implementation of the Customer or an Authorised User, rather than by our own actionable breach or negligence.

17.7 Nothing in a Digital Product creates a duty for us to supervise the Licensed Site, monitor implementation, make operational decisions, receive safeguarding referrals or assume the Customer's statutory, regulatory, employer, occupier, professional or safeguarding responsibilities.

18. Indemnity for business Customers

A business Customer shall indemnify us against third-party claims, regulatory action, losses, damages and reasonable legal costs arising from its unlawful distribution or sublicensing; material misrepresentation of authorship; unauthorised third-party services; or its or its Authorised Users' negligent, unlawful or materially non-compliant use, adaptation or implementation of a Digital Product, including claims involving breach, injury, harm or death, but only to the extent caused by that Customer-side conduct and not by our breach, negligence or other liability that cannot lawfully be excluded.

19. Termination

19.1 We may terminate the licence by written notice for a material breach that is incapable of remedy or is not remedied within 14 days after notice, or immediately for deliberate infringement, unlawful distribution or fraud.

19.2 On termination, the Customer must stop using and sharing the Digital Product and delete unauthorised copies. Documents already lawfully adapted and embedded in the Licensed Site's operational records may be retained only where legally necessary, subject to confidentiality and no further distribution.

20. Complaints and dispute resolution

20.1 Complaints should be sent using the current customer-service contact details published on the EYFS MENA website or order confirmation, with the order number and requested resolution. We aim to acknowledge complaints within five working days and respond substantively within 14 working days.

20.2 The parties should first attempt in good faith to resolve a dispute through written communication. A business dispute should then be referred to a senior representative of each party before proceedings are commenced.

20.3 Nothing prevents a Consumer from using a complaint mechanism, regulator, court or alternative dispute-resolution process available under mandatory law in the Consumer's country.

21. Governing law and courts

21.1 For business Customers, the Contract and any non-contractual dispute are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.

21.2 For Consumers, the law of England and Wales applies, but this choice does not deprive the Consumer of mandatory protections provided by the law of the country in which the Consumer habitually resides. A Consumer may bring proceedings in any court available under mandatory applicable law.

22. General provisions

22.1 We may transfer the Contract as part of a sale or reorganisation of our business, provided this does not reduce a Consumer's rights. The Customer may not transfer the Contract or licence without our written consent.

22.2 If a provision is unlawful or unenforceable, it will be limited or removed only to the minimum extent necessary; the remainder continues in effect.

22.3 A delay in enforcing a right is not a waiver. Rights and remedies are cumulative.

22.4 These Terms do not create a partnership, agency, employment or franchise relationship. No third party has a right to enforce them, except where mandatory law provides otherwise.

22.5 We may update these Terms for future purchases. The version accepted at the time of purchase governs that purchase unless a lawful, expressly agreed variation applies.

22.6 Notices may be sent to the email or postal address given in the order and are treated as received when delivery is recorded, subject to applicable law.
